Terms of Service

1. Acceptance of Terms

By accessing or using the EvoClusion platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services. These Terms constitute a legally binding agreement between you and EvoClusion, a Canadian corporation headquartered in Edmonton, Alberta, Canada.

2. Description of Services

EvoClusion provides digital workplace inclusion training, learning pathways, organizational assessments, executive coaching, and related consulting services. The Services may include, but are not limited to:

  • Online courses and learning modules
  • Organizational diagnostic assessments
  • Certified executive coaching programs
  • Progress tracking and completion certificates
  • Personalized learning recommendations

3. Account Registration

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify EvoClusion immediately of any unauthorized use of your account.

4. Free Trial & Subscriptions

EvoClusion may offer a free trial period for new users. At the end of any trial period, your access may be converted to a paid subscription unless you cancel before the trial expires. Subscription fees, billing cycles, and payment terms will be communicated at the time of purchase. All fees are quoted in Canadian dollars (CAD) unless otherwise stated and are subject to applicable taxes, including the Goods and Services Tax (GST) and any applicable provincial sales taxes.

5. Intellectual Property

All content, materials, software, trademarks, logos, and other intellectual property associated with the Services are owned by or licensed to EvoClusion and are protected under the Canadian Copyright Act (R.S.C., 1985, c. C-42), the Trade-marks Act (R.S.C., 1985, c. T-13), and applicable international intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Services without prior written consent from EvoClusion.

6. User Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable Canadian federal, provincial, or municipal law
  • Share, redistribute, or resell course content or materials without authorization
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload or transmit viruses, malware, or other harmful code
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect your personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and Alberta's Personal Information Protection Act (PIPA). By using the Services, you consent to the practices described in our Privacy Policy.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. EvoClusion does not warrant that the Services will be uninterrupted, error-free, or secure. The educational content provided is for informational purposes and does not constitute legal, human resources, or professional compliance advice.

9. Limitation of Liability

To the maximum extent permitted by Canadian law, EvoClusion, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Services, even if EvoClusion has been advised of the possibility of such damages. In no event shall EvoClusion's total aggregate liability exceed the amount you have paid to EvoClusion in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless EvoClusion and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

EvoClusion reserves the right to suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts of competent jurisdiction located in Edmonton, Alberta, Canada.

13. Modifications to Terms

EvoClusion reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by providing additional notice (such as via email). Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

14. Accessibility

EvoClusion is committed to ensuring accessibility for all users in accordance with the Accessible Canada Act (S.C. 2019, c. 10).
